TPH Hosts Upstream CFO Huddle

$30 oil creates tough times, but it also creates opportunities. In an effort to dive into the financial issues the upstream world is facing, TPH hosted our first of what will be a series of quarterly upstream CFO-focused events. Nearly 100 senior upstream finance professionals representing companies across the public and privately owned spectrum gathered at the TPH conference center in Houston. In a panel-style format with interactive Q&A, we explored issues across the balance sheet (senior debt, subordinated lenders, hedging, equity raises, private capital sources) in discussions led by industry experts in the pertinent topics. Additionally, learning from history is critical in times like these and discussions led by industry leaders who persevered through similarly powerful downcycles and company specific issues provided welcomed perspective. In typical TPH fashion, fun was had and plenty of time was allocated to allow the industry finance leaders to socialize with each other.

SCF Partners Founder and Chairman Visits TPH

Our CEO Luncheon Series continued on February 9th with the spotlight on OFS private equity pioneer L.E. Simmons. Mr. Simmons described the genesis of SCF Partners and the early decision to pursue a company-building path over a more traditional investment-centric model. Over more than 25 years, SCF’s unique strategy has been the foundation and incubator for OFS household names such as Weatherford, NOV, Grant-Prideco and Hornbeck Offshore among others. Mr. Simmons stressed global reach over geographic concentration as one of the hallmarks of good companies. Additionally, he believes a focus on doing a few things well vs. “dabbling” in a lot of things creates durable, nimble and more valuable enterprises. As Mr. Simmons sees it, the current environment presents considerable challenges, particularly for private equity firms struggling to deploy massive amounts of capital and generate competitive returns. Against that difficult backdrop he believes, as in cycles past, the inherent elevated volatility and extreme dislocation will reveal opportunities to buy good companies (i.e., solid cash flow dynamics) at deeply discounted prices.

Memorial Resource Development CEO Visits TPH

Jay Graham was appointed CEO of MRD in January 2016, replacing former CEO John Weinzierl who has since transitioned to focus entirely on Memorial Production Partners LP. Mr. Graham is a 23-year veteran of the oil & gas industry and co-founded WildHorse Resources, LLC in 2007, which acquired interests in the Terryville Field in 2010 and operated as a subsidiary of MRD prior to the company’s IPO in mid-2014. Under Mr. Graham’s leadership, WildHorse drilled the initial 55 horizontal wells in the prolific Terryville Field which serves as MRD’s foundational asset base. During 2016, MRD is focused on generating moderate production growth while spending roughly within cash flow as well as delineating its newly acquired acreage position. With significant “skin in the game” from a share ownership perspective, Mr. Graham’s goal is to protect the company’s strong financial strength and liquidity while preserving flexibility to quickly ramp drilling activity once natural gas supply/demand fundamentals improve.

Her Britannic Majesty’s Consul-General, Karen Bell, and her colleagues joined TPH investment banking and securities professionals at the firm’s offices for a luncheon on March 10th to discuss the current state of the energy industry and avenues for advancing energy development in the UK. TPH shared its views on the oil & gas macro landscape and the firm’s observations regarding two areas of particular focus for Consul-General Bell and British policy makers – North Sea decommissioning challenges and the opportunities and obstacles presented by future onshore shale development in the UK. Other topics of mutual interest discussed included the recent lifting of the US crude oil export ban and its potential impact on the UK refining system and the globalization of natural gas markets.

ARC Resources Ltd. CEO Visits TPH

We shifted our focus north of the border and hosted Myron Stadnyk, President and CEO of Canadian E&P ARC Resources, Ltd. Mr. Stadnyk has served in leadership roles since the company’s 1997 founding and was appointed CEO in 2013. He stressed the consistency and continuity of ARC’s strategic focus – high returns on capital balanced between a mix of growth and dividends. The company has paid out almost $6 billion over its life. Mr. Stadnyk acknowledged the back and forth nature of investor priorities over time – in certain phases of the cycle, maximum growth is all that seems to matter, while at other times (now, for example), balance sheet discipline and a focus on returns are what investors want. ARC has resisted the temptation to play the short-term game, as evidenced by its historical payout and the fact the company’s net debt/funds from operations has never exceeded 3x (currently below 1.5x). Despite its methodical approach, the company has remained nimble and forward looking – it was an early mover on the massive, multi-zone Montney gas opportunity and drilled the first horizontal well in the play. Mr. Stadnyk has led a major asset profile shift to a portfolio that is now ~40% light oil with gas growth dominated by the Montney, a play that competes very well with the Marcellus in terms of resource potential, cost structure and returns.
